Terms of Service 

Introduction 

This document is an electronic record in accordance with the Information Technology Act, 2000, and its related rules. It is published under Rule 3 of the Information Technology (Intermediary Guidelines) Rules, 2011, which require the publication of rules and regulations, privacy policy, and Terms of Use for accessing or using the marketplace e-commerce website, namely www.shoptaproot.com, Taproot (hereinafter collectively referred to as the 'Platform'). Furthermore, this electronic record is generated by a computer system and does not require any physical or digital signatures. 

The Platform is owned, operated, and managed by TAPROOT ENTERPRISES LLP, a company duly incorporated under the provisions of the Companies Act, 2013, whose registered/operational office is F NO A-72, ROOP VILLA CGHS PLOT NO 2, SECTOR 19B DWARKA, NEAR OPG, Dwarka Sec-6, South West Delhi DELHI 110075. The term "we", "us", "our", “company, “Taproot”, “platform” used anywhere on this page shall mean TAPROOT ENTERPRISES LLP and "you", “your”, "user", “visitor” shall mean any natural or legal person who is visiting our website and/or agreed to purchase from us. 

By accessing, visiting, or using the Platform, you acknowledge that you have read, understood, and agree to be lawfully bound by these terms and conditions ("Terms of Use"). Except as otherwise specified, these terms and conditions do not apply to third-party products or services, which shall be governed by their own terms of service. 

 

Terms 

2.1 By using or accessing the Platform, you are deemed to have accepted these terms and conditions (“Terms of Use”). We reserve the right, at our sole discretion, the content of the pages of this website is subject to change without notice. These Terms constitute a legally binding contract between you (hereinafter referred to as “You” or “you're” or the “User”) on one part and Taproot on the other part. 

2.2 A User shall mean and include any natural or legal person who accesses, browses, transacts, or avails any services on the Platform. By impliedly or expressly accepting these Terms, you also agree to be bound by our guidelines, rules, privacy policy, and/or other applicable policies, as may be updated and made available to you. 

2.3 If you do not agree with all the Terms, you are expressly prohibited from using the Platform and must discontinue use immediately. 

 

Website Feedback & User Content 

3.1 On the Platform, we provide spaces for you to leave reviews or ratings. When posting a review, you must comply with the following criteria: 

  1. You should have first-hand experience with the product you are reviewing; 
  1. Your review should not contain offensive profanity, abusive, racist, or hate language; 
  1. Your review should not contain discriminatory references based on religion, race, gender, national origin, age, marital status, sexual orientation, or disability; 
  1. Your review should not contain references to illegal activity; 
  1. You should not be affiliated with competitors if posting negative reviews; 
  1. You should not post any false or misleading statements; 
  1. You may not organise a campaign (whether financial or not) encouraging others to post reviews, whether positive or negative. 

 

Term And Termination 

4.1 These Terms are effective unless and until terminated by either you or us. They shall remain in full force and effect while you use the Platform. Without limiting any other provision of these Terms, we reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Platform (including blocking certain IP addresses) to any person for any reason or for no reason, including without limitation for breach of any representation or warranty contained in these Terms or any applicable law or regulation. We may terminate your use or participation in the Platform or delete any content or information that you may have posted at any time and in our sole discretion. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive actions. 

Indemnity 

5.1 The User agrees to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, consultants, representatives, shareholders, vendors, users, and other related parties (“Indemnified Parties”) against any and all losses, liabilities, claims, damages, demands, costs, expenses, attorney’s fees, or other losses arising out of or in connection with any claim, suit, action, or other proceeding brought against the Indemnified Parties 

Liability 

6.1 It is expressly made clear to You that Taproot does not manufacture any of the products listed on this Platform. 

6.2 The User understands, agrees, and acknowledges that Taproot is an intermediary and an online e-commerce marketplace. The ‘contract for sale’ of the products, if any, shall be a bipartite contract between the User and the sellers listed on the Platform. 

6.3 Any claim that the User may have regarding the quality, appearance, nature, consumption, usage, or any other attribute(s) of the products shall be pursued by the User directly with the seller. Taproot shall not be made a party to any such claim. The User hereby waives any claim and releases Taproot from all liabilities, losses, claims, and damages that may arise out of or in connection with the disclaimer mentioned in the succeeding clause. 

6.4 Your use of any information or materials on our website and/or product pages is entirely at your own risk, for which we shall not be liable. It shall be your own responsibility to ensure that any products, services or information available through our website and/or product pages meet your specific requirements. 

6.5 Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials found or offered on this website for any particular purpose. You acknowledge that such information and materials may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law. 

6.6 Unauthorized use of information provided by us shall give rise to a claim for damages and/or be a criminal offense. 

6.7 Any dispute arising out of use of our website and/or purchase with us and/or any engagement with us is subject to the laws of India. 

User Representations 

7.1 The User shall ensure that the registration-related information provided on the Platform is accurate, complete, and true. If we suspect that the information provided by the User at any time is untrue, inaccurate, or not in accordance with these Terms, the Company shall have the right to suspend, terminate, or block their access to the Platform. 

7.2 The User shall remain solely responsible for maintaining the confidentiality of their registration information and will be liable for all activities and transactions conducted through the User’s account, if provided. The Company shall not be liable for any third-party claims with respect to any loss that the User may incur because of someone else using the User’s password or account, either with or without the User’s knowledge. 

7.3 The User can only use the Platform for their own legitimate, legal use. The User shall neither attempt to decipher, decompile, disassemble, hack, or reverse engineer any part of the Platform, nor assist someone else in doing so. 

7.4 You may not create a link to our website from another website or document without TAPROOT ENTERPRISES LLP’s prior written consent.

 

Personal Data 

8.1 We will be processing the personal data and sensitive personal data that you provide to, or is collected by or for, or processed in connection with our Platform in accordance with our privacy policy. Please familiarise yourself with our Privacy Policy and tell us if you have any questions. If you do not agree with the Privacy Policy-related Terms, please do not access the Platform. If you continue to use the Platform, or any Taproot products or services, including its website, we understand that you are aware of this Privacy Policy and its contents and have provided your informed consent on such a basis. You accordingly agree and consent to us collecting, storing, processing, transferring, and sharing your personal information (including sensitive personal information) with third parties or service providers for the purposes set out in the Privacy Policy. If you have registered with Taproot and wish to close your account, kindly email us at contact@shoptaproot.com, and we will de-register you from our marketplace. 

Intellectual Property Rights 

9.1 Unless otherwise stated, we shall own all rights, title, and interest, including all related intellectual property rights, such as source code, databases, software, applications, audio, text, images, graphics, trademarks, service marks, etc. 

9.2 The Terms do not constitute a sale and do not convey to the User any rights of ownership in or related to the Platform, the goods or services, or any intellectual property rights owned by the Company. The User shall be solely responsible for any violations of any laws and for any infringement of any intellectual property rights. 

9.3 All trademarks reproduced in our website which are not the property of, or licensed to, the operator are acknowledged on the website. 

9.4 Our website contains material which is owned by or licensed to us. This material includes, but are not limited to, the design, layout, look, appearance and graphics. Reproduction is prohibited other than in accordance with the copyright notice, which forms part of these terms and conditions. 

9.5 You may not create a link to our website from another website or document without TAPROOT ENTERPRISES LLP’s prior written consent. 

 

Representation and Warranties 

10.1 The Platform is provided on an as-is and as-available basis. You understand and agree that your use of the platform-based services is at your own risk. We disclaim all warranties, express or implied, in connection with the Platform and your use of it, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We make no warranties or representations about the accuracy or completeness of the Platform’s content, or the contents linked to this Platform, and we will assume no liability or responsibility for any: 

  1. Personal injury or property damage, of any nature whatsoever, resulting from your access to and use of the Platform or the third-party sellers’ products provided therein; 
  1. Any unauthorised access to or use of our secure servers and/or all personal information and/or financial information stored therein; 
  1. Any interruption or cessation of transmission to or from the Platform; 
  1. Any error(s) or omission(s) in any content and materials or for any loss or damage of any kind incurred because of the use of any content posted, transmitted, or otherwise made available via the Platform. 
  1. From time to time our website may also include links to other websites. These links are provided for your convenience to provide further information. 
  1. We, shall be under no liability whatsoever in respect of any loss or damage arising directly or indirectly out of the decline of authorization for any Transaction, on Account of the Cardholder having exceeded the preset limit mutually agreed by us with our acquiring bank from time to time 
  1. We have established an adequate grievance redressal mechanism and have appointed a grievance officer for consumer grievance redressal, who shall acknowledge the receipt of any customer complaint within 96 (ninety-six) hours and will redress the complaint within 1 (one) month from the date of receipt of the complaint. 

10.2 As a marketplace e-commerce entity, we do not have a cancellation policy.

10.3 As a marketplace e-commerce entity, we shall only record the consent of a customer for the purchase of any goods or services offered on our Platform, where such consent is expressed through an explicit and affirmative action. 

10.4 We shall affect all payments towards accepted refund requests of the consumers as prescribed by the Reserve Bank of India or any other competent authority under any law or the time being in force, within a reasonable period, or as prescribed under applicable laws. 

10.5 As an e-commerce entity, we do not: 

  1. Manipulate the price of the goods or services offered on our Platform in such a manner as to gain unreasonable profit by imposing on users any unjustified price having regard to the prevailing market conditions, the essential nature of the goods or services, any extraordinary circumstances under which the goods or services are offered, and any other relevant consideration in determining whether the price charged is justified; 
  1. Discriminate between the users of the same class or make any arbitrary classification of users affecting their rights. 

User Restrictions 

11.1 As a User of the Platform, you agree not to: 

  1. Upload, modify, publish, transmit, update, or share any information that: 
  1. Belongs to another person and to which the user does not have any right; 
  1. Is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic, libelous, invasive of another’s privacy, hateful, or racially, ethnically objectionable, disparaging, related to or encouraging money laundering or gambling, or otherwise unlawful in any manner whatsoever; 
  1. Harms minors in any way; 
  1. Infringes any patent, trademark, copyright, or other proprietary rights; 
  1. Violates any law for the time being in force; 
  1. Deceives or misleads the addressee about the origin of such messages or contains any information which is grossly offensive or menacing in nature; 
  1. Impersonates another person; 
  1. Contains software viruses, or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer resource; 
  1. Threatens the unity, integrity, defense, security, or sovereignty of India, friendly relations with foreign states, or public order, or causes incitement to the commission of any cognizable offence, prevents investigation of any offence, or is insulting to any other nation. 
  1. Retrieve data or other content from the Platform to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us; 
  1. You may not create a link to our website from another website or document without TAPROOT ENTERPRISES LLP’s prior written consent. 
  1. Collect usernames and/or email addresses of users through electronic or other means for the purpose of sending unsolicited emails, or build user accounts under false pretenses, etc.; 
  1. Use the Platform to advertise or offer to sell goods or services, unless so authorised by us; 
  1. Engage in unauthorised framing of or linking to the Platform; 
  1. Mislead or defraud us and other users, especially in any attempt to learn sensitive information such as user passwords; 
  1. Make improper use of our support services or submit false reports of abuse or misconduct; 
  1. Interfere with, disrupt, or create an undue burden on the Platform, or the networks or services connected to the Platform; 
  1. Attempt to impersonate another user or person or use the username of another user; 
  1. Attempt to obtain unauthorised access to the Platform; 
  1. Breach any applicable laws for the time being in force; 
  1. Sell or otherwise transfer your account; 
  1. Use the Platform as part of any effort to compete with us or otherwise use the Platform and/or the content for any revenue-generating endeavor or commercial enterprise; 
  1. Harass, annoy, intimidate, or threaten any of our employees or agents; 
  1. Use the Platform or any part of the Platform for any purpose that is unlawful or prohibited by these Terms, or to solicit the performance of any illegal activity that violates the rights, including but not limited to intellectual property rights, of Taproot or others.

Cancellation Policy

Returns & Refunds Policy 

For Customers:  

  1. Since many of our brands create clothing on a made-to-order basis, we’re unable to accept return, exchange or refund requests. However, if an item arrives damaged, please contact us within 24 hours of receiving it, including a video and photos of you unboxing the item. Send these to orders@shoptaproot.com, and we’ll respond within 48-72 hours to assist you. Please note that no requests will be entertained without a video of the package opening. Incase of an order exchange or return the customer will have to bear the shipping cost. We encourage you to review our size guide before ordering.

For Sellers: For returned orders, Taproot will not charge any commission to the seller. The customer will be responsible for the return shipping & it's cost unless the return is due to damage during transit.

Shipping Policy

We are shipping for only domestic buyers, orders are shipped through registered domestic courier companies and /or speed post only. 

We deliver to all metro areas and major non-metro cities across India. While we aim for timely deliveries, please be aware that unforeseen circumstances may occasionally cause delays. 

GENERAL SHIPPING TIMELINES 

Order Processing: While placing your order, you can check the estimated delivery timeline. Brands have different timelines depending on the product and quantity ordered. For made-to-order items, preparation timelines will differ from the regular brand shipping guidelines. 

Dispatch and Delivery: Orders are shipped within 0-7 days or as per the delivery date agreed at the time of order confirmation and delivering of the shipment subject to Courier Company / post office norms. 

Business Hours: Our services are available on business days, excluding Saturdays, Sundays, and National Holidays. 

TAPROOT ENTERPRISES LLP is not liable for any delay in delivery by the courier company / postal authorities and only guarantees to hand over the consignment to the courier company or postal authorities within 0-7 days from the date of the order and payment or as per the delivery date agreed at the time of order confirmation. 

Delivery of all orders will be to the address provided by the buyer. Delivery of our services will be confirmed on your mail ID as specified during registration. For any issues in utilizing our services you may contact our helpdesk on contact@shoptaproot.com. We will respond within 24 hours. 

 

Roles and Responsibilities  

 

2.1 Taproot’s Responsibilities  

- Showcase The Brand's products on the platform in a professional and appealing manner.  

- Provide marketing and promotional support, including social media mentions.  

- Ensure a premium shopping experience for customers.  

- Manage customer service related to platform usage and order queries.  

 

2.2 The Brand’s Responsibilities  

- Provide high-quality, premium, and handmade products in alignment with Taproot’s curation standards.  

- Supply accurate product descriptions, images, and pricing details.  

- Ensure timely fulfillment of orders, including shipping and tracking information.  

- Offer support for any product-specific customer inquiries or complaints.  

Packaging Requirements

- The Brand agrees to provide its products in high-quality packaging that reflects the premium nature of Taproot’s platform.

- Down the line, The Brand agrees to comply with Taproot’s exclusive packaging guidelines and utilize Taproot-branded packaging materials as and when implemented.

- Taproot will communicate the packaging standards and provide necessary support, including the supply of branded packaging materials, with reasonable advance notice.

Intellectual Property  

- The Brand retains full ownership of its trademarks, copyrights, and product designs.  

- Taproot may use The Brand's images, logos, and product descriptions solely for marketing and promotional purposes.
